By accessing our website or contracting any of our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions and our Privacy Policy.
3. Services
We provide tailored digital marketing solutions based on client objectives. All services, deliverables, and timelines are specified in your signed proposal, statement of work (SOW), or service agreement.
We reserve the right to modify, update, or discontinue any part of the services at any time, with or without notice.
4. Client Responsibilities
Clients agree to:
Provide timely access to necessary information, logins, and approvals. Review and respond to deliverables and communication within reasonable timeframes. Ensure accuracy of content and materials supplied to us.
Failure to cooperate may delay delivery timelines or impact performance, for which we are not responsible.
5. Payments & Billing
All fees and payment schedules are defined in the client’s service agreement. Late payments may incur a service charge of 1.5% per month (or the maximum permitted by law). Project-based services may require upfront or milestone payments before work begins. Subscription-based services are billed monthly and renew automatically unless canceled in writing with at least 14 days’ notice.
6. Refunds & Cancellations
All services are non-refundable once work has commenced. Subscription clients may cancel services with written notice, effective at the end of the current billing period. Early termination may result in prorated charges or forfeiture of access to deliverables.
7. Intellectual Property
Unless otherwise agreed in writing:
All materials provided by the client remain their property. All content, strategies, creatives, and digital assets developed by us remain our property until final payment is received. Upon full payment, ownership of deliverables may transfer to the client, excluding any third-party tools or licenses.
8. Confidentiality
Both parties agree to maintain confidentiality of all non-public information, trade secrets, and proprietary materials exchanged throughout the engagement.
9. Results Disclaimer
While we use best practices and proven methods, we do not guarantee specific outcomes such as increased traffic, sales, or rankings. Results may vary based on market, competition, and client responsiveness.
10. Third-Party Tools & Platforms
We may use third-party platforms (e.g., Google, Facebook, website hosts) to execute services. We are not liable for any changes, errors, or service interruptions caused by these platforms.
11. Limitation of Liability
To the fullest extent permitted by law, Transformational Outsourcing shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services.
12. Termination
Either party may terminate the service agreement with written notice per the agreed-upon terms. Any outstanding payments will become due upon termination.
13. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
14. Changes to Terms
We reserve the right to update these Terms at any time. Continued use of our services after such changes constitutes your acceptance of the revised Terms.
